Notice of Public Hearing

NOTICE OF PUBLIC HEARING
FOR ISSUANCE OF QUALIFIED 501(c)(3) BONDS BY
THE WASHINGTON HEALTH CARE FACILITIES AUTHORITY

The Washington Health Care Facilities Authority (the “Authority”) will hold a public hearing using a toll-free telephone number at the date and time designated below regarding the proposed issuance by the Authority of a tax-exempt special fund revenue “qualified 501(c)(3) bonds,” as defined in Section 145 of the Internal Revenue Code of 1986, as amended (the “Code”), in one or more series, in an original aggregate stated principal amount not to exceed $263,000,000 (the “Series 2021B Bonds”).

The proceeds of the Series 2021B Bonds will be loaned to Providence St. Joseph Health (“PSJH”), a Washington nonprofit corporation and a “501(c)(3) organization,” as defined in the Code, for the benefit of Providence Health & Services, Swedish Health Services (“Swedish”) and Swedish Edmonds (“Swedish Edmonds”), each a Washington nonprofit corporation authorized by law to operate nonprofit health care facilities and a 501(c)(3) organization, for the purpose of providing all or part of the funds necessary to refund all of the WASHINGTON HEALTH CARE FACILITIES AUTHORITY REVENUE BONDS, SERIES 2012B (Providence Health & Services), and to refinance certain taxable debt previously incurred by PSJH to pay or redeem all of the WASHINGTON HEALTH CARE FACILITIES AUTHORITY REVENUE BONDS, SERIES 2012C (Providence Health & Services) and the WASHINGTON HEALTH CARE FACILITIES AUTHORITY REVENUE BONDS, SERIES 2012D (Providence Health & Services) (collectively the “Series 2012B/C/D Bonds”).

The facilities financed and refinanced with proceeds of the Series 2012B/C/D Bonds, to be refinanced with the proceeds of the Series 2021B Bonds, consist of real property (including land, hospital and clinic buildings and parking and other structures) and personal property (including equipment and fixtures) useful for or associated with delivery of inpatient and outpatient health care services or support for such care (“Health Care Facilities”) at the following locations:

First Hill Campus:  747 Broadway, Seattle, Washington 98122; 700 Minor, Seattle, Washington 98122; and 600, 601-626, and 801 Broadway, Seattle, Washington 98122

Ballard Campus:  5225, 5300 – 5350 Tallman Ave NW, Seattle, Washington 98107; 1801 NW Market St, Seattle, Washington 98107

Cherry Hill Campus:  500 – 550 17th Ave, Seattle, Washington 98122; 1600 E. Jefferson, Seattle, Washington 98122

Issaquah Campus:  751 NE Blakely Drive, Issaquah, Washington 98029

Lake Sammamish Ambulatory Care Center:  2005 NW Sammamish Road, Issaquah, Washington 98027

Mill Creek Ambulatory Care Center:  13020 Meridian Ave. S, Everett, Washington 98208

Redmond Ambulatory Care Center:  18100 NE Union Hill Road, Redmond, Washington 98052

Swedish and/or Swedish Edmonds will be the initial owner or operator of all Health Care Facilities to be refinanced with the proceeds of the Series 2021B Bonds.

A public hearing with respect to the proposed issuance of the Series 2021B Bonds will be held at 10:00 a.m. Pacific Daylight Time on August 31, 2021.  In light of the COVID-19 public health crisis, such public hearing will be conducted remotely, through the use of a telephone conference.  All interested persons are invited to listen to, and participate in, the public hearing by calling into the teleconference using the toll-free number 1-855-929-3239 and entering conference code 3720 2330#.  In order to facilitate registration of participants to the teleconference, it is requested that such persons call the above number no later than 9:55 a.m. (5 minutes before start time).  Written comments can be submitted to the Authority via email at shannong@whcfa.wa.gov no later than 9:30 a.m. Pacific Daylight Time (30 minutes before start time) on the date of the public hearing
